Regional Reports Terms & Conditions
- The Industrial Gases Business in Asia / North Africa / Middle East are multi-subscriber reports (or part thereof), which constitutes part of the Spiritus Enhanced Knowledge Programme. A Subscriber agrees to purchase the report(s) (or part thereof) in accordance with the following terms and conditions.
- Spiritus will provide to the Subscriber, one downloadable electronic version (in pdf file format) and/or 3 bound paper copies of the above mentioned report(s), on publication, to the address nominated by the Subscriber.
- While the Programme Reports will represent an original effort by Spiritus based on its own research, it is understood that we will be collating information available from third parties, both published and unpublished. Spiritus does not believe that the Programme will contain confidential information of third parties and can not provide any assurance that any third party may claim a confidential obligation to such information.
- The information disclosed in the Programme Reports will be retained by the Subscriber for sole and confidential use of the Subscriber and the reports must not be passed on to any third party for whatever reason without written authorisation to do so by Spiritus.
- The Subscriber shall not republish any of the Programme or report except within its own organisation. The Subscriber further agrees to refrain from any general publication of reports so as to constitute page of title into the public domain or otherwise jeopardize statutory copyright in the said Programme.
- The Subscriber further agrees that it will use reasonable efforts to keep the whole content of the Programme Reports for its sole use, however, this restriction shall not apply to information which becomes generally available to the public in a printed publication, which is already in the possession of the Subscriber, or which is received by the Subscriber in good faith from a third party without an obligation of confidentiality.
- A subscription to the Programme or reports by the Subscriber will be limited to the Subscriber's own companies and affiliates where the Subscriber has 51% or greater equity interest.
- Payments for Subscription to the Programme or particular reports shall be made either by secure on-line credit payment service provided by Spiritus or by electronic bank transfer following issuing of an invoice by Spiritus. Payment terms are strictly thirty (30) days from date of invoice. The cost of the Programme is a fixed price and net or any local taxes, duties, sales or VAT taxes etc. - all of which are for the account of the Subscriber. Late payments or payment default shall accrue interest at 2.5% per month and failure to settle within 60 days may constitute a breach of these terms and conditions at which time Spiritus will seek appropriate channels to recover such monies and any further additional costs from the Subscriber.
- The obligations of 4 and 5 shall terminate five (5) years from receipt of any such reports.
- This Programme has been prepared to provide information on the industrial gases business and/or to assist the recipient in its decision making process. Spiritus Consulting warrants that all work carried out for this report was undertaken in good faith. No representation or warranty, either expressed or limited, is made as to the reliability, completeness or accuracy of this report. No responsibility or liability whatsoever is accepted by any person including Spiritus Consulting, its respective officers, employees or associate consultants for any errors or omissions in this paper. It is for the Subscriber to decide what action to take based on this work without redress to Spiritus Consulting for the consequences for such action.
- Subscription to the report constitutes an agreement between the Subscriber and Spiritus for the Programme subscribed to only and such agreement will be governed by English Law.
